银行保函与预付款保函

在工程建设中，作为承建方（乙方）在整个项目周期内要向建设方（甲方）提供两种保函：

一.银行(履约)保函

在合同签订前，承包人应在收到中标通知书后14天内向招标人提交履约担保（正常履约担保）。其中现金为签约合同价的2%，银行保函为签约合同价的8%，保函条件是无条件保函。

二．预付款保函（也是一种银行履约保函）

当主合同拿到了的时候可以申请预付款了。某工程的预付款为合同金额的25%，分两次支付。第一次是10%，第二次是25%。

拿第一次预付款的时候须要向甲方交一些文件，其中有一项就是按本次支付金额的100%开具的以发包人为受益人，可凭发包人首次申索即作无条件付款的预付款保函和合同约定的履约担保原件（就是之前那个8%的银行保函）。

同理，在第二次申请预付款的时候，也是要出具一个金额为合同价款15%的预付款保函。

那为什么要分两次支付预付款呢，这个要看招标人的要求，比如第一次支付要求是项目部组建完成进场时，第二次是乙供主材合同签约完成时等，各个甲方要求不一样。

预付款是要在每次付进度款中按比例扣回的，在进度款付完前必须全部扣完，这个扣法具体要看甲方要求。

三．保函的退回

预付款保函（25%）的退回：在预付款全部扣回，切在承包人提交合格的退还预付款申请60天后退还给承包人。

现金履约保函（2%）的退回：项目竣工验收合格后且在完成竣工结算后，甲方收到规定的资料后60天内，无息退还。

银行履约保函（8%）的退回：项目竣工验收合格后且在完成竣工结算后，甲方收到规定的资料后60天内，无息退还。

名词解释：

银行履约保函（Bank Guarantee）：是承包商通过银行向业主提供的保证认真履行合同的一种经济担保。世界银行贷款项目一般规定，银行履约保函金额为合同总价的10%。

银行履约保函分为两种形式：

1、无条件（Unconditional或on Demand）银行保函；

银行见票即付，不需业主提供任何证据。业主在任何时候提出声明，认为承包商违约，而且提出的索赔日期和金额在保函有效期的限额之内，银行即无条件履行保证，进行支付，承包商不能要求银行止付。当然业主也要承担由此行动引起的争端、仲裁或法律程序裁决的法律后果。

对银行而言，他们愿意承担这种保函，既不承担风险，又不卷入合同双方的争端。

2、有条件（Conditional）银行保函。

银行在支付之前，业主必须提出理由，指出承包商执行合同失败、不能履行其业务或违约，并由业主或监理工程师出示证据，提供所受损失的计算数据等。

一般来讲，银行不愿意承担这种保函，业主也不喜欢这种保函。
